Terms of Service

These terms govern use of the Sync platform and this website. If your institution has a signed agreement with Syncademia, that agreement controls for the institution and its users wherever it differs from these terms.

1. The service

Sync is an operations platform for clinical education programs, licensed to institutions. Individual accounts (students, faculty, preceptors, administrators) are created and authorized by the subscribing institution; access is through the institution’s sign-on systems and may be modified or revoked by the institution at any time.

The institution owns its data. Syncademia processes education records as a service provider at the institution’s direction, consistent with FERPA, our privacy policy, and the institutional agreement. We claim no ownership of institutional or user content, and we do not sell it or use it to train AI models.

4. Availability and support

We work to keep Sync available continuously and maintain backups with point-in-time recovery, but the service is provided without an uptime guarantee unless one is set out in the institutional agreement. Support is described on the support page.

5. Fees

Fees, billing, and renewal terms are set in the institution’s order form. There are no fees charged to individual students or faculty for platform access.

6. Term, suspension, and termination

Institutional subscriptions run per their order form. We may suspend accounts that present a security risk or materially violate these terms, and will involve the institution’s administrators in any such decision. When a subscription ends, the institution may request an export of its data; the institution’s dedicated database is then destroyed in accordance with the agreement’s retention terms.

7. Intellectual property

Sync and Toybox, including their software, design, connectors, and documentation, are owned by Syncademia and protected by law. Subscriptions grant a right to use the service, not a license to copy, resell, reverse-engineer, or build derivative services from it. Toybox connectors are developed, delivered, and licensed exclusively by Syncademia, per the institution’s order form; no right to create, modify, or distribute connectors or other integration code for the service is granted.

“Syncademia,” “Sync,” “Toybox,” and the Syncademia logo are trademarks of Syncademia. No license to use them is granted by these terms, except that institutions may identify Syncademia as their service provider in ordinary factual references.

8. Disclaimers

Sync is a coordination and record-keeping tool. It does not provide medical advice, and responsibility for clinical decisions, supervision, and program compliance with accreditation requirements remains with the institution and its clinicians. Except as stated in an institutional agreement, the service is provided “as is” without warranties of any kind.

9. Limitation of liability

To the maximum extent permitted by law, Syncademia’s aggregate liability arising from the service is limited to the fees paid by the institution for the twelve months preceding the claim, and neither party is liable for indirect or consequential damages. Nothing in these terms limits liability that cannot be limited by law.

10. Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except where an institutional agreement specifies otherwise.

11. Changes

We may update these terms; the date above reflects the current version, and material changes will be communicated to institutional administrators before they take effect.
